Legal Terms

1. Corporate Identity and Ownership

Sulta Tech PTY (LTD) is a private company. All code, content, written materials, platform rights, and associated intellectual property are owned by Sulta Holdings Limited unless expressly stated otherwise in a signed agreement.

2. Scope and Acceptance

These terms apply to your access to and use of Sulta Tech websites, software, AI systems, APIs, deliverables, consulting, and related services (collectively, the "Services"). By using the Services, you accept these terms.

3. Intellectual Property and License Limits

• All rights not expressly granted are reserved by Sulta Holdings Limited.
• No transfer of ownership occurs unless explicitly set out in a signed contract.
• You may not copy, reverse engineer, sublicense, resell, scrape, or create derivative works from our proprietary systems except as permitted by law or written agreement.

4. Client Materials and Feedback

You represent that you have rights to any data or content you provide. You grant us the rights needed to process such materials solely to provide Services. Any feedback, suggestions, or improvement ideas you share may be used by us without restriction or compensation.

5. Acceptable Use

• No unlawful, fraudulent, abusive, or rights-infringing use.
• No security testing, probing, or circumvention without written permission.
• No use of Services to build competing products from our proprietary methods or outputs.
• No automated extraction beyond documented API or written permission.

6. Confidentiality

Each party must protect the other party's confidential information using reasonable safeguards and use it only for permitted purposes. Confidentiality obligations survive termination and do not apply to information that is public through no fault of the receiving party.

7. AI Output and Professional Reliance

AI outputs are probabilistic and may contain inaccuracies, omissions, or bias. You are solely responsible for review, validation, and final use decisions. Services and outputs are not legal, financial, medical, or other professional advice.

8. Fees, Suspension, and Termination

Fees are due as set out in the applicable order or agreement. We may suspend or terminate access for non-payment, security risk, legal risk, or material breach. On termination, accrued payment obligations and clauses intended to survive will remain in force.

9. Warranties Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, SOFTWARE, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ERROR- FREE OR UNINTERRUPTED OPERATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SULTA TECH, SULTA HOLDINGS LIMITED, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT PAID TO US FOR THE RELEVANT SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnity

You agree to defend, indemnify, and hold harmless Sulta Tech and Sulta Holdings Limited from third-party claims, damages, liabilities, and costs (including legal fees) arising from your misuse of the Services, your content, or your breach of these terms.

12. Non-Solicitation

During an active engagement and for twelve (12) months after it ends, you will not knowingly solicit for employment any employee or direct contractor of Sulta Tech involved in your project, except through a general public job posting not directed at such individual.

13. Governing Law and Disputes

Unless otherwise agreed in writing, these terms are governed by the laws of the Republic of South Africa, excluding conflict of law rules. The courts of South Africa will have exclusive jurisdiction, and each party consents to that venue.

14. Changes to These Terms

We may update these terms from time to time. The updated version is effective when posted on this page unless otherwise stated.
