We process data under your instructions and our agreements. For client-provided data intended for model customization, we isolate and restrict access on a need-to-know basis. Unless otherwise agreed in writing, we do not use your non-public data to train foundation models offered to other customers. We retain data only as long as necessary for the purposes described or as required by law or contract.

- No attempts to circumvent security, rate limits, or usage caps.
- No generating or deploying content that violates privacy, intellectual property, or applicable AI safety policies.
12.3 Client Data and IP
You retain ownership of your data and content. Subject to the Order and your compliance with these Terms, we grant you a worldwide, non-exclusive license to use deliverables for your internal business purposes. We retain ownership of our pre-existing IP, templates, tooling, and know-how, including improvements developed while providing the Services.
12.4 AI Outputs
AI-generated outputs may be probabilistic and can contain errors or biases. You are responsible for reviewing outputs for accuracy, appropriateness, and compliance before use. Do not rely on outputs as a substitute for professional advice.
12.5 Fees and Payment
Fees are specified in the Order. Unless otherwise stated, fees are non-cancellable and non-refundable once work has commenced. You are responsible for applicable taxes. Late amounts may accrue interest at the maximum rate permitted by law.
12.6 Confidentiality
Each party will protect the other party's confidential information with reasonable care and use it only to perform obligations under the Order. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully obtained from a third party.
12.7 Warranties and Disclaimers
EXCEPT AS EXPRESSLY SET OUT IN AN ORDER, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.8 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. EXCEPT FOR PAYMENT OBLIGATIONS OR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY'S AGGREGATE LIABILITY UNDER AN ORDER WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12.9 Indemnification
You agree to indemnify and defend Sulta Tech against third-party claims arising from your misuse of the Services or violation of these Terms, including reasonable attorneys' fees.
12.10 Termination
Either party may terminate an Order for material breach if not cured within thirty (30) days of written notice. Upon termination, you must pay any accrued fees. Sections intended to survive will do so.
12.11 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Venue and jurisdiction will lie in the state or federal courts located in Delaware, unless otherwise required by applicable law.
